Code Contest (“Contest”)


Open to residents of Ontario, Canada Only

By entering this contest, Contestants (defined below) agree to abide by the Official Contest Rules and Regulations (the “Official Rules”). The decisions of the FreshBooks (“Sponsor”) with respect to all aspects of the Contest (defined below) are final. All materials become the property of Sponsor and none will be returned. 1. The Contest Period

The Online Qualification Round (as defined below) commences at 4:00 PM Eastern Time (“EST”) on Saturday November 10, 2018 and concludes at 4:00 PM EST on Saturday November 17, 2018 (the “Qualification Period”).

The Final Round (as defined below) which shall take place at Sponsor’s headquarters located at 1655 Dupont Street, Toronto, Canada will commence at 9:00 AM EST and end at 4:00 PM EST on Saturday, December 1, 2018.

2. Eligibility

To enter and be eligible to win, the entrant must be a resident of Ontario, Canada of eighteen (18) years of age or older at the time of entry (“Contestant”). Employees, directors and officers of Sponsor and any affiliate of Sponsor (the “Affiliates”) are eligible to enter the Contest.

By entering the Contest, all Contestants agree to abide by these Official Rules and all decisions of Sponsor, which shall be final and binding.

Sponsor reserves the right to verify your eligibility and to adjudicate on any dispute at any time. You agree to provide Sponsor with any proof of eligibility requested by Sponsor and your refusal or failure to provide such proof will result in your disqualification from the Contest and forfeiture of any prizes.

3. Requirements to Enter and Receive a Prize

In order to enter the Contest, Contestants must have access to the Internet; and must have a valid email address. You are required to provide us with your first name, last name, phone number, address including postal code, and/or any other information that Sponsor may require awarding a Contestant with a prize.

4. How to Enter and Contest Structure

NO PURCHASE NECESSARY. To enter the contest, entrants must register at www.pushcode.ca and provide, accurately and correctly, the required and requested information appearing on the www.pushcode.ca website, including but not limited to first name, last name, date of birth, address including postal code. All Contestants can register on the www.pushcode.ca website to enter between 4:00 pm EST on Saturday November 10, 2018 and 4:00 pm EST Saturday November 17, 2018 for the Online Qualification Round. No additional time shall be granted once the time has elapsed for the Online Qualification Round. Contestants will be presented with algorithmic software problems to solve online within the Qualification Period.

All Contestants will be using our partner system (www.codility.com) where the online competition will be held. All work must be done independently without assistance or aid of any kind whatsoever and will have only one attempt to submit their solutions and answers in a specific time allotment. Every problem will then be automatically tested on solution correctness and performance requirements, and score points in both categories. Conduct contrary to these Official Rules immediately disqualifies the Contestant from participating in the Contest.

Top 25 scoring Contestants from the Online Qualification Round will be eligible for the Final Round and will be notified between Monday November 19, 2018 and Wednesday November 21, 2018 via email, or phone. Sponsor will require confirmation of attendance to the finals before Thursday November 22, 2018 at 1:00 PM EST via email. Failure to confirm, will result in selecting the next qualified Contestant in order to fill the 25 available spots. Sponsor will not contact Contestants that are not eligible to participate in the Final Round. Contestants are solely responsible for all travel arrangements, and all related cost, to and from Sponsor’s headquarters for the Final Round. The questions in the final round will be similar in nature to the questions in the Qualifier round. However, the number of problems in time allowed to complete and submit may differ.

Sponsor in its sole discretion may, at any time, modify any aspect of the Contest, including cancelling it in its entirety without notice.

Contest entries will be declared invalid if they are false, late, illegible, incomplete, damaged, irregular, mutilated, forged, garbled or mechanically or electronically reproduced. No communication or correspondence will be exchanged with entrants except with those selected to participate in the Final Round or as a potential prize winner. Should it be discovered that an entrant is using the aid of computer software programs to auto-fill entries or otherwise in an unauthorized manner, that entrant will be immediately disqualified from the Contest. Sponsor reserves the right to disqualify all such entrants from future contests conducted by Sponsor without further notice.

5. Judging

The solutions you submit will be judged as follows.

5.1 Points. Each stage will require the solution of multiple problems. Each problem will score 100 points in total (50 for correctness and 50 for performance) and the sum of the points will guide the final placement of the Contestant.

5.2 Ranking Contestants.

(A) Highest Score First. Contestants will be ranked in order of the highest score first and lowest score last.

(B) Ties Ranked by Solution Time. In the event of a tie between contestants, the one with the lowest solution time will be ranked first while the one with the highest penalty time will be ranked last.

(B) Ties Ranked by Start Time. In the event of a tie of both score and solution time between contestants, the one who started the contest earlier will be ranked first while the one with the highest penalty time will be ranked last.

6. Prizes

There will be one (1) prize to be won. The prize shall consist of a cheque in the amount of Five Thousand dollars $5,000.00 CAD (the “Prize”), which shall be issued within thirty (30) days of notifying the winner.

It is the sole responsibility of the winner to comply with all applicable tax laws and filing requirements. Sponsor at no point shall be held responsible or liable for the winner’s taxes occurred from the cash prizes awarded by Sponsor.

7. Official Rules Govern

In the event of a conflict between the Official Rules and any instructions or interpretations of these Official Rules given by an employee of Sponsor regarding the Contest, these rules shall prevail. In the event of any discrepancy or inconsistency between the terms and conditions of these Sponsor Rules and disclosures or other statements contained in any Contest-related materials including, but not limited to, the registration form, point of sale, print or online advertising, the terms and conditions of these Official Rules shall prevail, govern and control.

8. No Representation or Warranties

9. Declaration

Contestant confirms that:

• he or she has read, understood and accepted these Official Rules;

• that he or she understands that participation in the Online Qualification Round and Final Round may involve danger and/or exposure to risks and hazards of both man-made and natural origin, whether arising from foreseeable or unforeseeable human error and negligence, and that, as a result, he or she may suffer damage to personal property, serious personal injury, illness or even death; and

• that he or she nevertheless freely and voluntarily agrees and does hereby assume any and all risks of personal injury, illness, death arising out of or connected with his or her participation in the contest and winning the Prize.

10. Prize Substitution

Prizes and prize portions are non-exchangeable and non-transferable and must be accepted as awarded with no substitutions. Should a Potential Winner be unable to claim the Prize, his/her rights to the Prize will be forfeited.

11. Termination/Modification

Subject to applicable law, Sponsor reserves the right to cancel, suspend, terminate and/or modify the Official Rules or administration of the Contest, in whole or in part, without prior notice with no obligation or liability.

12. Ownership of Entries

All entries shall become the property of Sponsor and their advertising and promotional agencies. Sponsor assumes no responsibility for lost, stolen, destroyed or otherwise indecipherable entries due to any failure or technical malfunction of the telephone network, on-line computer systems of equipment, servers, access providers, software, poor reception, technical problems, and failure of any email or submission or due to any other reason regardless of cause.

Sponsor is not responsible for any problems or technical malfunctions of any telephone network or lines, computer online systems or servers, computer software programs or traffic congestion on the Internet or at any website, and assumes no liability for damage to Contestant’s or any person’s computer or other device resulting from participating in the Contest. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be deemed to have been made by the authorized account holder of the email address at time of entry. “Authorized account holder” is the natural person who is assigned an e-mail address by an Internet service provider or other organization responsible for assigning e-mail addresses for the domain associated with the e-mail address in question.

13. Publicity

By entering the Contest, each Contestant consents to the use of his or her name, city of residence, photograph, voice, likeness, image or any other aspect of his or her personality for any publicity and programming purposes, commercial or otherwise, throughout the world, in all media, in perpetuity, by the Contest Sponsors, promoters and their advertising and promotional agencies, without any payment or compensation of any kind whatsoever, except where prohibited by law, and agrees to sign any release or other documentation requested by Sponsor.

14. Consent to Collection and Use of Personal Information

By entering the Contest and voluntarily providing personal information including, but not limited to, name, address, city, email address, home and office telephone numbers (the “Contestant Information”), each Contestant grants permission to Sponsor to collect and use of the Contestant Information for the exclusive purpose of administering the Contest, selecting the prize winner(s) and to receive additional information surrounding Sponsor’s partner programs and benefits. All information collected in the Contest will be subject to Sponsor’s privacy policy.

15. Tampering

If for any reason the Contest is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the reasonable control of Sponsor that corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right, at their sole discretion, to cancel, terminate, modify, extend or suspend the Contest and/or Prizes. Sponsor further reserve the right to disqualify, from this Contest and future contests of Sponsor, any individual who tampers with or in any way corrupts the entry process. Sponsor may prohibit Contestant from participating in the Contest, future contests of Sponsor and/or winning a prize(s) if, in Sponsor’s sole discretion, if Sponsor determines that said Contestants are attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or any unlawful or unfair playing practices relating to the Contest (including but not limited to the use of automated quick entry programs), prize(s), or intending to annoy, abuse, threaten or harass any other Contestants or Sponsors representatives. Any attempt by a Contestant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Contest may be in violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including lawyers’ fees) from any such Contestant or any other individual to the fullest extent permitted by law, including criminal prosecution.

16. Limitation of Liability

By entering the Contest, the Contestant agree that Sponsor, its directors, officers, employees, representatives and affiliates, shall have no liability and shall be held harmless by the Contestant for any damage, loss or liability to person or property, due in whole or in part, directly or indirectly, by reason of entering the Contest, the acceptance, possession, use, enjoyment or misuse of Prize, or while preparing for, participating in any Contest-related or prize-related activity. Sponsor is not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by any of Sponsor’s, users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions that may cause damage to a user’s system or limit an potential Contestant’s ability to participate in the Contest.

18. Compliance with Laws

This Contest is subject to all applicable federal, provincial and municipal laws and regulations. Each Party irrevocably waives any objection on the grounds of venue, forum non-convenient or any similar grounds and irrevocably consents to the service of process by mail or in any manner permitted by applicable law and consents to the jurisdiction of the courts of Ontario, Canada. The Contestants further hereby waive any right to a trial by jury with respect to any lawsuit or judicial proceeding arising or relating to this Contest. The Contest is void where prohibited by law.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

In the event of any discrepancy or inconsistency between the English language version and any translated language version of the Official Rules, as applicable, the English version shall prevail, govern and control.
